Minutes of the Board of  Directors Meeting

September 4, 2007

Present: Katie Angle, Lisa Austin, Mike Beadles, Charles Breer, Mary Derks, Garry Glubka, Pete Hawkins, Paul Huntington

Absent: Kelly Hazel

Also present: Jim Pederson, Tony Stifter

MINUTES from August 7, 2007 were approved with no changes.

REPORTS

TREASURER: Tony Stifter reported that the largest revenue item was from membership dues in July with biggest expenses being the newsletter and food/lodging for WOW. WOW expenses came in under budget due to changes in recognition, advertising and food delivery for dinner and rest stops.

NEWSLETTER: No report. Rides and articles are due Sept 10th for the October issue to Steve Scott.

MEMBERSHIPS are 1144 currently.

RECOGNITION CORNER: For WOW Julie and Jon Kosbab, Jamie McDonald, Dave Swaab and Friday Ride Leaders Dan Miller and Kate Kovar. For All Club Ride (166 Riders) Doug Nelson, Pete Hawkins, Julie Kosbab

OUTREACH:  Lisa Austin reported on BAM (Bike Around Minnesota), second annual, multiday tour, sponsored by

SBAC and MN Dot. 100 riders attended.

Laurie Holm directed TCBC's efforts in the St Paul Classic and 1st Minneapolis Grand Round Tour, both single day events. At this year's State Fair a record 6,335 bikes parked in three bike corrals, sponsored by TCBC.

BUSINESS

NEW MEMBER COMMUNICATIONS: Garry Glubka continues to send an email and a monthly letter with timely events/ rides to new members. A map coupon is also enclosed to pick up a new map clip at a designated ride to save on the postage for mailing the clips. Garry purchased a label writer to facilitate this. He receives new member info from Active.com or Tony Stifter (via US mail) and forwards the volunteer information to Dave Swaab, Volunteer Coordinator.

WOW RECAP: WOW in Duluth/Superior was profitable with this year's changes. The dorms were fine, although far from the breakfast and ride start. Group starts with ride leaders received positive comments.  Dinner was great. Suggested improvements: More direction signs on campus and continuous registration during the dinner hours for people arriving. Rest stops needed more nourishing foods as found at a gas station. Saturday's route was bumpy, not on a good road. Possibly run the route more on the lake. Recommendations: Increase the size of the committee to work out the details in advance and have more volunteers during the event. Continue the ride and with no fee.

UPDATE ON OPEN BOARD SEATS: The five board members up for re-election expressed willingness and interest in running again. They are Lisa Austin, Charles Breer, Mary Derks, Garry Glubka and Kelly Hazel, as reported by  Pete Hawkins and Hugh Gitlin of  the nominating committee. They will submit bios for the general membership to view in the October newsletter.

SUGGESTIONS for BY-LAWS CHANGES:

1. How to handle serving partial terms

2. Ensure past president is on the board for one year following service

3. Allowance for PROXY voting

4. Quorum change from % to a fixed number, whichever is lower.

MEETINGS:

*General Membership Meeting Fri OCT 26 7:00-9:00 PM with a light supper of salads and sandwiches at 6:30 Dakota Lodge in Thompson Park Center, Robert St/Butler/52 in W St Paul.

*1st Board Meeting Tues. Oct 30 (changed from Mon Oct 29)

*Budget Committee (Mary Derks, Pete Hawkins, Tony Stifter, Charles Breer, Terry Quam) will meet to prepare budget for the membership meeting.                             

2008 MN BIKE EXPO-TCBC ROLE: The board agreed to participate with a booth ($350) and volunteers at next year's expo. Mike Frederick meets the 1st Tues of the month for planning this event. Could Valerie Olson or another interested non-board member attend these meetings?

VOLUNTEER COORDINATOR: Mike Beadles and Charles Breer will write a job description to be posted in the newsletter for the position currently filled by Dave Swaab.

L.A.B LIAISON VOLUNTEER: Molly Lethert has volunteered to be TCBC's contact person. Pete Hawkins will write a job description.

MESSAGE BOARDS: Discussion raised these questions. Can a business be promoted by a member? How does that affect our paid advertisers? Is moderation needed for inappropriate messages?

TCBC RANDONNEUR RIDES: These rides are long distance, self-supportive, and non-competitive in nature. Rob Welch will set up rides up to 200/300K as TCBC rides. These rides could be qualifiers for longer brevets. For the club this becomes a new category of ride to be added in the description of rides. Special event insurance would be issued for this ride. Lisa Austin moved to approve and with a second, the motion passed.

PRIORITIES

RIDE SCHEDULING SYSTEM: One person has expressed interest in serving as the project manager. Mike Beadles will organize a meeting with existing committee to begin working on this. All agreed the system should start this winter.

Jim Pederson reported on a new record for August ride submissions with 269 rides including 49 web rides (18%). Rides for the year = 1340 on track for another record.

E-GROUPS POLICY: Club announcement system update was postponed, due to Kelly Hazel's absence.

BIKE ATLAS PROJECT: The atlas needs pages about TCBC. Charles Breer and Lisa Austin will look at this before press date in October.

FUTURE FINANCIAL STRATEGY: Pete Hawkins renewed Parks n Trails membership for $100 with a suggestion to donate more, if desired. Paul Huntington received recognition for Clean-up of the Midtown Greenway.

OTHER

BROCHURES: Lisa Austin and Steve Scott will order 5000 in a new color on 80# glossy text with new pictures.

The board approved the motion by Pete Hawkins.

HEADPHONES: The board agreed to bring the issue of wearing headphones on club rides to the general membership meeting for a discussion and vote.

The meeting was adjourned at 9:10 PM.
